Article 1 – Acceptance of the General Terms and Conditions
The Client confirms having read, understood, and expressly accepted the General Terms and Conditions of Service (GTCS) outlined in this document without reservation. These terms exclusively govern the contractual relationship between Sylvie Jeandet and the Client and shall take precedence over any conflicting provisions contained in other documents, except where explicitly agreed upon in writing by both parties. In the event of a dispute, the agreement between the parties will be established by reference to the following:
- The accepted quote;
- These General Terms and Conditions of Service;
- A copy of the completed work.
These documents together constitute sufficient evidence of the contractual relationship and the agreed terms
Article 2 – Rates
Rates are in euros and are calculated either based on the source word count or on an hourly rate (please refer to the quote).
Any changes or additions to documents not initially foreseen may result in additional charges.
Discounts or reductions are granted exclusively at the discretion of Sylvie Jeandet and apply solely to the specific service for which they are offered. Such concessions are granted on a case-by-case basis and do not entitle the Client to similar discounts or reductions for future services
Sylvie Jeandet reserves the right to adjust rates at any time without prior notice, except for rates specified in quotes that have already been accepted by the Client. Rates outlined in a quote remain fixed and binding only for the duration of the validity period of the quote.
Article 3 – Order Confirmation
To finalize an order, the Client must return the quote, unaltered, via email or postal mail, clearly indicating the mention “Approved” along with the date.
The Client acknowledges and agrees that email communications, copies, and electronic formats shall be deemed equivalent to the original document and constitute valid proof of acceptance of the quote
Article 4 – Execution Timeframe and Delivery of Work
The delivery timeframes indicated in the quote are for guidance purposes and are subject to the following conditions:
- Provision of Information and Materials – The Client must supply all necessary information and materials required for the service within the agreed deadlines. Sylvie Jeandet shall not be held responsible for any delays resulting from incomplete, insufficient, or late submission of such information.
- Order Confirmation and Execution Timeframe – The delivery date specified in the quote is subject to change. The Client must confirm the order within three (3) business days of receiving the quote. Failure to confirm within this timeframe grants Sylvie Jeandet the right to revise the delivery schedule in accordance with her current workload.
- Delivery Method – Delivery will be conducted preferably via electronic means or postal mail, as agreed upon with the Client.
Article 5 – Payment Terms
A deposit of 30% is required upon signing the quote for services exceeding one thousand (1,000) euros. In such cases, the service will only begin once the deposit has been received. The remaining balance is due upon delivery of the service and no later than thirty (30) days after the invoice date, unless otherwise stated in the quote.
If the Client cancels the order after signing the quote but before work has started, a fee equal to 10% of the total invoice amount will be charged as compensation. For cancellations occurring after work has begun, Sylvie Jeandet will invoice the Client for the completed portion of the work and reserves the right to charge up to 50% of the value of the remaining work as compensation.
Payments are to be made via bank transfer, with any associated bank fees the responsibility of the Client. Other payment methods may be negotiated in advance. Payment details will be provided on the invoice.
In the event of late payment, the Client will owe, without prior formal notice, late payment penalties in accordance with Article L.441-6 of the French Commercial Code, as well as a fixed recovery fee of €40.
Article 6 – Revision and Proofreading
In the event of any disagreement regarding aspects of the service, Sylvie Jeandet may revise the work in cooperation with the Client. If the translation is intended for publication, the Client must provide Sylvie Jeandet with the final print proof for review prior to publication.
Unless otherwise agreed in writing, any revisions or proofreading will incur additional charges based on the applicable hourly rate.
Article 7 – Complaints
The Client has eight (8) business days from receipt of the translated or proofread documents to submit any concerns regarding the quality of the service in writing. After this period, will be deemed fully completed, and no further complaints will be accepted. The Client agrees that any postal or electronic delivery acknowledgment shall serve as proof of delivery.
Article 8 – Obligations et Liability
Sylvie Jeandet commits to exercising the utmost care and professionalism in providing high-quality services that meet industry standards.
The Client agrees to provide all materials to be translated, revised, or proofread in a timely manner, including any necessary background information and specific terminology required for accurate understanding. In the absence of such timely and complete information, Sylvie Jeandet will not be held liable for any resulting non-conformities or delays.
Sylvie Jeandet is not responsible for any inconsistencies or ambiguities present in the source content, as the Client is solely responsible for the technical verification of the final text. Liability is strictly limited to the amount invoiced for the relevant service.
Under no circumstances will Sylvie Jeandet be held liable for claims related to stylistic preferences or nuances.
Furthermore, Sylvie Jeandet disclaims any responsibility for the misuse or modification of the services by the Client after the delivery of the final work.
Article 9 – Force majeure
In the event of force majeure as defined by French case law, which prevents the fulfillment of obligations, the obligations of both Sylvie Jeandet and the Client shall be temporarily suspended. If the suspension persists for more than two (2) months, either party may terminate the contract. In such cases, neither Sylvie Jeandet nor the Client shall be liable for any compensation.
Sylvie Jeandet shall not be held liable for any delays or failure to perform resulting from a force majeure event.
Article 10 – Intellectual Property
All translations provided by Sylvie Jeandet are protected by copyright. Intellectual property rights for the translations will be transferred to the Client only upon full payment for the services rendered. Until such payment is received, the translations may only be used with the explicit prior consent of Sylvie Jeandet.
The Client is responsible for ensuring they have the necessary rights to submit documents for translation. The Client must either be the author of the original document or have obtained prior written authorization from the copyright holder. In the absence of such confirmation, Sylvie Jeandet shall not be held liable for any infringement of intellectual property rights, third-party rights, or relevant regulations concerning the submitted documents. The Client assumes full responsibility for any resulting damages or financial consequences.
Article 11 – Confidentiality and Data Protection
Sylvie Jeandet is committed to ensuring the confidentiality of all information and documents provided to her before, during, and after the delivery of services. This information will be used exclusively for the purpose of performing the requested services and will not be shared with third parties without the Client’s prior written consent, unless required by law.
The Client grants Sylvie Jeandet permission to use their name, business name, URL, logo, representative image, and a brief description of the services provided for marketing and promotional purposes.
In accordance with the General Data Protection Regulation (GDPR), any personal data collected from the Client will be used solely for order processing, service delivery, and client relationship management. Such data will not be shared with third parties without the Client’s consent. The Client has the right to access, update, or request the deletion of their personal data by contacting Sylvie Jeandet at sylvie@sjscribe.com.
Article 12 – Disputes and Applicable Law
These general terms and conditions are governed by French law. In the event of a dispute, both parties agree to make every effort to resolve the matter amicably. If a resolution cannot be reached, the dispute will be subject to the exclusive jurisdiction of the courts in Chambery, Savoie, France.
Article 13 – Amendments to the General Terms
Sylvie Jeandet reserves the right to amend these general terms and conditions at any time. Any changes will apply to services ordered after the updated terms have been published.
